Ashley R. Hollen is a responsive attorney whose attention to detail benefits the clients she serves. She assists clients with a broad range of legal issues in the areas of mergers and acquisitions, real estate, business, and environmental law. She advises privately held businesses and non-profits on matters including buying and selling businesses, entity formation, ownership and member issues, business restructuring, commercial contracting, corporate governance, acquisitions and dispositions, mergers, and private placements. Ashley also has extensive experience with real estate matters, from acquisition and disposition (negotiation through closing) to assisting homeowner associations and counseling clients on land-use issues. She particularly enjoys assisting clients with due diligence, whether in the sale or purchase of a business or in real estate transactions. Outside of work, Ashley enjoys spending time with her husband and two daughters, attending sporting events, reading, and traveling.

Experience
  • Mergers and Acquisitions: Advises and guides clients through every stage of buying and selling their businesses. Ashley works with sellers to prepare their companies for market helping to identify potential deal obstacles early in the process and assisting in implementing strategies to maximize enterprise value. For purchasers, she oversees legal due diligence to assist her clients in making informed decisions. Her transactional work spans asset deals, equity acquisitions, and merger structures where she helps her clients negotiate the terms and conditions of the purchase and sale documents while keeping in mind each client’s priorities.
  • Business: Represents clients in the negotiation, review, and drafting of business contracts of all types, including independent contractor agreements, and non-competition and confidentiality agreements. Ashley also assists clients with organizing their businesses which can include the negotiation and drafting of company organizational documents (articles of incorporation, articles of organization, by-laws, and operating agreements), stock restriction agreements, and shareholder buy-sell agreements.
  • Real Estate Transactions: Represents clients in both commercial and residential real estate transactions, including the purchase and sale of real estate and the negotiation and drafting of lease agreements and construction agreements.
  • Trademarks and Copyrights: Assists clients with the registration, assignment and renewal of trademarks and copyrights.
  • Environmental Law and Environmental Cost Recovery: Assists clients with environmental assessment and remediation, cost recovery and compliance. Aids owners and operators in the recovery of funds from prior owners and operators and insurance to address environmental fees and expenses typically associated with the investigation and clean-up of historical manufacturing, dry cleaning and underground storage tank operations.
