Limited Partnership and Limited Liability Partnership Filing Requirements Effective January 1, 2018

There are new filing requirements in Indiana for limited partnerships (“LPs”) and limited liability partnerships (“LLPs”). Effective January 1, 2018, pursuant to I.C. 23-0.5-2-13, all domestic and registered foreign LPs and LLPs are required to file biennial reports with the Indiana Secretary of State.

For LPs and LLPs registered with the Secretary of State prior to January 1, 2018, the first report will be due in 2019 in the anniversary month of registration. The biennial report for LPs and LLPs that register after January 1, 2018, will be due every two years in the anniversary month of registration.

Thus, LPs and LLPs now have uniform reporting requirements consistent with corporations and limited liability companies, ensuring the Secretary of State has current entity information.
